Terms of Service

These Terms of Service ("Terms") govern your use of the Vercor platform operated by Vercor AI, Inc. ("Vercor," "we," "us"). By creating an account or using the platform, you agree to these Terms.

1. Service Description

Vercor is a response operations platform that helps teams respond to RFPs, grants, and security questionnaires. The platform extracts requirements from uploaded documents, drafts response sections using AI, and exports formatted documents.

Vercor offers a free tier (document extraction) and paid subscription tiers (Pro and Unlimited) with additional capabilities. Features and pricing are described on our website and may change with notice as described in Section 12.

2. Account Terms

You must be at least 18 years old to use Vercor. You are responsible for maintaining the security of your account credentials. If you create an organization account, you are responsible for the activity of all team members you invite.

You agree to provide accurate account information and to update it if it changes. We may suspend or terminate accounts that violate these Terms or are used for unauthorized purposes.

3. Your Data and Content

Your data is yours. Always.

You retain all intellectual property rights in the documents, proposals, answers, and other content you upload to or create with Vercor ("Customer Content"). We do not claim ownership over any Customer Content.

You grant Vercor a limited, non-exclusive license to host, process, and display your Customer Content solely as necessary to provide the platform services. This license terminates when you delete the content or close your account.

You also own all AI-generated outputs produced by the platform from your inputs. Vercor does not claim ownership of drafts, extracted requirements, or generated answers created within your account.

4. AI Features and Limitations

Vercor uses AI to extract requirements, generate drafts, and produce questionnaire answers. These outputs are provided as drafting aids and are not guaranteed to be accurate, complete, or suitable for any particular purpose.

You are solely responsible for reviewing, verifying, and approving all AI-generated content before submission or distribution. Vercor is not liable for errors, omissions, or inaccuracies in AI-generated outputs.

Neither Vercor nor any of our AI service providers use your Customer Content to train, fine-tune, or improve AI models. Your data is processed only to generate outputs within your account.

Vercor supports compliance and completeness in your response workflows. It does not guarantee award outcomes.

5. Acceptable Use

You agree not to:

  • Use the platform to develop a competing product or service
  • Reverse engineer, decompile, or attempt to extract the source code of the platform
  • Upload content that is illegal, infringing, or harmful
  • Upload protected health information (PHI), social security numbers, payment card numbers, or government classified data
  • Attempt to circumvent usage limits, access controls, or security measures
  • Share account credentials or allow unauthorized users to access your account
  • Use the platform to generate content that misrepresents AI-generated material as entirely human-authored in contexts where such disclosure is legally required

6. Payment and Billing

Paid subscriptions are billed monthly or annually as selected at checkout. Subscriptions auto-renew at the end of each billing period unless you cancel before the renewal date.

Overage charges (for Pro plan generation limits) are billed at the rate published on our pricing page at the time of usage.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial billing periods unless required by applicable law.

We reserve the right to change pricing with at least 30 days' notice. Price changes apply to the next billing period after the notice period.

7. Free Tier

The free tier provides document extraction and requirement analysis at no cost. We may modify, limit, or discontinue the free tier at any time with reasonable notice. The free tier is provided without service level commitments.

8. Confidentiality

Each party agrees to protect the other party's confidential information with at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care. Your Customer Content is treated as your confidential information.

Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

9. Disclaimer of Warranties

The platform is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the platform will be uninterrupted, error-free, or secure. We make commercially reasonable efforts to maintain platform availability but do not guarantee specific uptime percentages.

10. Limitation of Liability

To the maximum extent permitted by law, Vercor's aggregate liability for any claims arising out of or related to these Terms or the platform shall not exceed the greater of (a) the amounts you paid to Vercor in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

In no event will Vercor be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of data, or cost of procurement of substitute services, regardless of the theory of liability.

These limitations do not apply to liability arising from gross negligence, willful misconduct, or breaches of confidentiality obligations.

11. Indemnification

You agree to indemnify and hold Vercor harmless from claims arising out of (a) your Customer Content, (b) your violation of these Terms, or (c) your violation of applicable law.

Vercor agrees to indemnify you from third-party claims that the platform, as provided by us, infringes a valid patent, copyright, or trademark, provided you notify us promptly and cooperate in the defense.

12. Changes to Terms and Service

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the platform at least 30 days before the changes take effect. Continued use of the platform after the effective date constitutes acceptance.

We may modify, update, or discontinue features of the platform with reasonable notice. We will not remove core functionality that you are actively paying for without offering a reasonable alternative or refund.

13. Termination

Either party may terminate these Terms at any time. You may cancel your account through the platform settings or by contacting us.

We may suspend or terminate your account immediately if you materially breach these Terms, after providing notice and a reasonable opportunity to cure (except for violations of the Acceptable Use policy, which may result in immediate suspension).

Upon termination, you will have 30 days to export your Customer Content. After that period, we will delete your data from production systems within 90 days. Backup copies may persist for an additional 90 days.

14. Feedback

If you provide feedback, suggestions, or feature requests, you grant Vercor a royalty-free, worldwide, perpetual license to use that feedback for product improvement. This does not apply to your Customer Content, which remains subject to Section 3.

15. Beta Features

We may offer beta or preview features that are not yet generally available. Beta features are provided "as is" without any service level commitments. We may modify or discontinue beta features at any time without notice.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any disputes arising from these Terms will be resolved in the state or federal courts located in Delaware.

17. General

These Terms constitute the entire agreement between you and Vercor regarding the platform. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision does not constitute a waiver.

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
